Acceptance of Terms
By executing a service agreement, issuing a purchase order, or engaging Dream More Consultant (Private) Limited for advisory services, the client explicitly agrees to be legally bound by these Terms and Conditions. These terms govern all interactions and project cycles.
Description of Consultancy Services
The Company provides professional advisory services in strategic planning, project management, institutional development, capacity building, and ancillary support services. The specific scope, timelines, and deliverables for any engagement will be explicitly itemized in a separate Statement of Work (SOW) or Contract.
Client Obligations and Cooperation
The successful execution of consultancy projects depends heavily on client cooperation. The client must provide timely, accurate, and complete data, access to necessary personnel, and prompt feedback on draft deliverables. Delays in client inputs will automatically extend project completion timelines.
Financial Terms, Invoicing, and Taxes
Clients agree to pay all fees and expenses according to the schedule detailed in their respective contracts. Invoices are issued upon reaching specific milestones and are payable within the net days specified (standardly 15 days). All fees are subject to applicable provincial and federal taxes in Pakistan.
Intellectual Property Rights
All methodologies, frameworks, training materials, software scripts, and proprietary tools utilized by the Company remain the exclusive intellectual property of Dream More Consultant (Private) Limited. Upon full and final financial settlement, the client is granted a non-exclusive, non-transferable license to use the final customized project deliverables for their internal organizational purposes.
Professional Standards and Warranties
The Company warrants that its services will be performed with reasonable care, skill, and diligence in accordance with standard professional consulting practices. However, because business and strategic outcomes depend on external market and organizational variables, the Company makes no absolute guarantees regarding specific financial or structural performance outcomes.
Limitation of Liability
To the maximum extent permitted by applicable law, the total liability of Dream More Consultant (Private) Limited for any claims, losses, damages, or professional liabilities arising out of a project shall be strictly limited to the total amount of fees actually paid by the client to the Company for that specific engagement.
Indemnification
The client agrees to defend, indemnify, and hold harmless the Company, its directors, consultants, and employees from any third-party claims, liabilities, damages, or costs arising out of the client’s misuse of deliverables, provision of false or misleading data, or breach of these terms.
Termination of Engagement
Either party may terminate a project agreement if the other party commits a material breach and fails to remedy it within thirty (30) days of receiving written notice. Upon termination, the client is legally obligated to pay for all professional hours logged and expenses incurred up to the effective date of termination.
Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by, construed, and enforced in accordance with the corporate and civil laws of the Province of Punjab and the Islamic Republic of Pakistan. Any unresolved disputes shall be subject to mandatory binding arbitration in Faisalabad under the Arbitration Act, 1940.
Force Majeure
Neither party shall be held liable for any failure or delay in performing its contractual obligations due to causes beyond its reasonable control, including but not limited to acts of God, government regulations, strikes, natural disasters, civil unrest, or widespread telecommunication failures.
